How can I get the 3ds2oof utility program?

That's an ancient utility that no longer exists. The .oof file format is the predecessor to what is now .mesh.

Is there any command line tools to convert 3d studio models to ogre mesh files?

No there isn't. Only exporters that save as Ogre mesh files from within 3dsmax.

But you could use Wing3d (.com) to import your 3DS file into Wings and export it as Ogre XML file.
